Terms of Service

Success Metrics, a brand of Kohr Strategies, LLC  |  Effective Date: July 1, 2026

These Terms of Service ("Terms") govern your access to and use of mysuccessmetrics.com, our membership community, courses, coaching, and any related content or services (together, the "Services"), offered by Kohr Strategies, LLC, doing business as Success Metrics ("Success Metrics," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are and What We Offer

Success Metrics provides financial education, coaching, and a membership community primarily for healthcare and nurse entrepreneurs, as well as other small business owners. Our offerings may include free resources, a paid membership community ("Business Vital Signs for Healthcare Entrepreneurs"), courses such as Know Your Numbers, and individual or group coaching.

Important: Success Metrics provides educational content and general business coaching. We are not a licensed financial advisor, accountant, CPA, attorney, or tax professional, and nothing in the Services constitutes financial, legal, tax, accounting, or investment advice specific to your situation. You are solely responsible for the business and financial decisions you make, and we encourage you to consult a qualified professional for advice specific to your circumstances.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent that you meet these requirements.

3. Accounts and Membership

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • Community and course access is provided through our platform (Kajabi). Your use of that platform is also subject to Kajabi's own terms where applicable.
  • You agree to provide accurate information when registering and to keep it up to date.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment, Billing, and Cancellation

  • All fees for membership, courses, or coaching are as stated at the time of purchase and are processed securely through Kajabi and its payment processor(s).
  • Membership subscriptions renew automatically on the billing cycle you select until canceled. You may cancel at any time through your account settings or by contacting us; cancellation stops future billing but does not automatically refund past charges.
  • Refund policy: No-refunds for digital products, courses, memberships and coaching sessions or scheduled appointments are refundable consistent with terms at checkout.
  • You are responsible for any applicable taxes.

5. Community Guidelines and User Conduct

If you participate in our community or any group discussion space, you agree to:

  • Engage respectfully with other members and staff.
  • Not post content that is unlawful, harassing, defamatory, or infringes on others' rights.
  • Not share confidential information belonging to other members without consent.
  • Not use the community to solicit business, sell competing products, or spam other members without our permission.

We may remove content or restrict access for members who violate these guidelines, at our discretion.

6. Intellectual Property

All content provided through the Services, including guides, workbooks, videos, templates, calculators, and community materials, is owned by Success Metrics or its licensors and protected by copyright and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use this content for your own personal or business use. You may not copy, resell, redistribute, or publicly share our materials, in whole or in part, without our written permission.

7. No Guarantee of Results

Any examples, testimonials, or case studies referenced in our marketing or content reflect individual experiences and are not a guarantee of similar results. Your outcomes depend on many factors, including your own effort, business, and market conditions, which are outside our control.

8. Third-Party Services and Links

The Services may reference or link to third-party tools and platforms, such as Kajabi, Canva, or payment processors. We are not responsible for the content, terms, or practices of those third parties, and your use of them is governed by their own terms and policies.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC BUSINESS OR FINANCIAL RESULT WILL BE ACHIEVED.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUCCESS METRICS AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO SUCCESS METRICS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Success Metrics harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any conduct we believe is harmful to Success Metrics or other members. You may stop using the Services and cancel your membership at any time as described in Section 4.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Before filing a claim, you agree to contact us to attempt to resolve the dispute informally. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the state or federal courts located in Colorado. 14. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" above reflects the most recent revision. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
